Terms of Service

These Terms of Service (hereinafter: "Terms") apply to all use of the AI Literacy Certification platform (hereinafter: "the Platform") offered by AGL Consult Com.V. By taking out a subscription or activating the Platform, the organisation (hereinafter: "the Customer") accepts these Terms.


1. Provider

2. Services

2.1 The Platform provides organisations with a multilingual learning environment for AI literacy, including course modules, knowledge checks, a final exam and digital certificates in accordance with EU AI Act Article 4.

2.2 AGL Consult Com.V aims for a minimum availability of 99.5% per calendar year, excluding planned maintenance. Maintenance will be announced in advance where possible.

2.3 AGL Consult Com.V reserves the right to adapt, extend or improve the service. In the event of significant changes affecting core functionality, the Customer will be informed at least 30 days in advance.


3. Subscription and Payment

3.1 Subscriptions are entered into for a period of 12 months and are automatically renewed, unless the Customer cancels no later than 30 days before the renewal date.

3.2 Invoicing takes place annually in advance. Invoices are payable within 30 days of the invoice date.

3.3 In the event of late payment, AGL Consult Com.V is entitled to suspend access to the Platform, following a written notice with a 14-day payment period.

3.4 Price changes will be communicated at least 60 days before the next renewal date. The Customer has the right to terminate the subscription if they do not accept the price change.

3.5 Refunds of subscription fees already paid are not possible, unless AGL Consult Com.V permanently discontinues the service.


4. Use of the Platform

4.1 The Customer may only use the Platform for the training and certification of its own employees, in accordance with the subscription taken out.

5. Intellectual Property

5.1 All course content, exam questions, certificate designs, images and other materials on the Platform are the exclusive property of AGL Consult Com.V and are protected by copyright.

5.2 The subscription grants the Customer a non-exclusive, non-transferable right to use the Platform for the duration of the subscription, solely for internal training purposes.

5.3 Certificates issued by the Platform are personal and may not be reproduced or altered.


6. Liability

6.1 AGL Consult Com.V is not liable for indirect damage, consequential damage, loss of profit or damage resulting from temporary unavailability of the Platform.

6.2 The total liability of AGL Consult Com.V is in all cases limited to the amount paid by the Customer in the 12 months preceding the damaging event.

6.3 AGL Consult Com.V does not guarantee that obtaining a certificate via the Platform automatically satisfies all of the Customer's legal obligations under the EU AI Act. The Customer remains solely responsible for its own compliance.


7. Cancellation and Termination

7.1 The Customer may cancel the subscription via the admin console under the Subscriptions section, no later than 30 days before the renewal date. In the event of technical difficulties, cancellation may also be submitted in writing via info@ailiteracy-certification.eu.

7.2 AGL Consult Com.V may terminate the subscription with immediate effect in cases of serious misuse of the Platform, non-payment following notice, or the Customer's insolvency.

7.3 Following termination, all Customer data will be deleted in accordance with the Data Processing Agreement. The Customer may request a data export prior to termination.


8. Confidentiality

The parties undertake not to disclose confidential information of the other party to third parties, unless required by law or the other party has given prior written consent.


9. Governing Law and Dispute Resolution

These Terms are governed by Belgian law. Disputes will be submitted to the competent court of the district of Antwerp. The parties will, however, first attempt to resolve any disputes through mutual consultation.


10. Amendments

AGL Consult Com.V reserves the right to amend these Terms. Amendments will be communicated at least 30 days before they take effect, via e-mail or via the Platform. Continued use after that date constitutes acceptance of the amended Terms.


11. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, this shall not affect the validity of the remaining provisions. These Terms constitute the entire agreement between the parties with regard to the use of the Platform and supersede all prior arrangements in this respect.
